1. Acceptance of Terms
By accessing or using NDA Lord ("the Service"), operated by Quorum IO Ltd ("we", "us", "our"), you agree to be bound by these Terms and Conditions. If you do not agree, you must not use the Service.
2. Description of Service
NDA Lord is a local-first software application that allows users to generate, electronically sign, and track Non-Disclosure Agreements (NDAs).
Local-First Processing. The Service processes document generation locally on your device. We do not transmit, read, or store the actual text, terms, or sensitive contents of your NDAs on our servers.
Audit Trail. If you choose to sign electronically via the Service, we generate a cryptographic hash of the document locally, which is sent to our servers alongside the signatories' email addresses, IP addresses, and timestamps to provide an execution audit trail and dispute mechanism.
3. No Legal Advice
NDA Lord is a technology platform, not a law firm. The templates, jurisdictional settings, and clauses provided within the Service are for informational and self-service purposes only and do not constitute legal advice.
Quorum IO Ltd makes no representations or warranties regarding the enforceability, validity, or legal adequacy of any document generated using the Service in any specific jurisdiction.
You are solely responsible for ensuring the generated NDA meets your specific legal needs and complies with applicable local laws. We strongly recommend consulting with a qualified attorney before executing any legal document.
4. User Responsibilities
You agree to use the Service strictly for lawful purposes. You represent and warrant that:
- You will not use the Service to generate documents for fraudulent or illegal activities.
- You will provide accurate email addresses for signatories if using the electronic signature dispatch feature.
- You will not abuse the "Dispute" mechanism to intentionally disrupt or harass other users. We reserve the right to ban email addresses or device fingerprints associated with repeated, malicious dispute filings.
5. Limitation of Liability
To the maximum extent permitted by applicable law, Quorum IO Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunities, or damages resulting from the unenforceability of any NDA generated through the Service.
Our total liability to you for any claim arising out of the Service shall not exceed the amount you paid us (if any) to use the Service in the 12 months preceding the claim.
6. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
